GridFrame Marcel Setup Service Agreement

This GridFrame Marcel Setup Service Agreement (the Agreement) is between:
Provider: Styps Ltd, a company registered in England and Wales under company number 14183652, with its registered office at 124 City Road, London, EC1V 2NX, United Kingdom. GridFrame is a product and service of Styps Ltd. Its website is https://gridframe.site, its email address is support@gridframe.site, and legal documents are accepted at 124 City Road, London, EC1V 2NX, United Kingdom. In this Agreement, GridFrame, we, us and our mean Styps Ltd; and
Customer: the person or business named in the booking and Stripe Checkout (Customer, you or your).
By checking the required agreement box and completing the first payment, you confirm that you have read, understood and agreed to this Agreement. If you are accepting for a business, you confirm that you are authorised to bind that business.
1. The service
GridFrame will provide the GridFrame Marcel Setup Service for one Marcel storefront using accounts owned or controlled by you.
The service includes:
- connecting your Neon database and running Marcel's included database setup;
- connecting Cloudinary and checking the agreed upload preset;
- connecting Stripe in Test mode and configuring the agreed checkout webhook;
- connecting your prepared Printful API store and syncing its existing products;
- connecting Resend, helping verify the sending domain and configuring the agreed webhook;
- publishing Marcel to your Vercel account;
- connecting one agreed custom domain or subdomain;
- adding one supplied logo, one supplied favicon and the agreed starting colours; and
- completing the agreed account, checkout, email, order, Printful draft fulfilment and Store Administrator tests.
The detailed preparation checklist and service description available in the Marcel Setup Service Guide form part of this Agreement. If the guide and this Agreement conflict, this Agreement controls.
2. What is not included
Unless we agree to a written change in scope, the service does not include:
- new features, custom code or new page templates;
- logo, icon, product-image or Printful-artwork creation or editing;
- product creation, product pricing or profit-margin decisions;
- product descriptions, campaign copy, legal policies or other copywriting;
- advertising, social-commerce management or ongoing SEO;
- completing your Stripe, banking, tax or business verification;
- provider subscriptions, domain fees, transaction fees, taxes, Printful costs or live test-order charges;
- multiple design-revision rounds; or
- ongoing website, store, account or provider management after handover.
We will explain when a request is outside scope. We will not begin out-of-scope work unless you approve a separate written quote or change order stating its price and effect on the timeline.
3. Your responsibilities
You agree to:
- purchase and maintain the correct Marcel software licence;
- own or have authority to use every account, domain, brand file, product, image and item of content supplied for the setup;
- provide complete and accurate settings, files and temporary invitations;
- prepare the Printful store, products and artwork before Setup Ready;
- complete provider identity, business, tax and payment verification yourself;
- answer reasonable setup questions promptly;
- review the finished work and report any in-scope problem clearly;
- pay third-party fees and approved live test-order costs; and
- remove GridFrame's temporary access and rotate shared credentials after handover.
You remain responsible for your products, prices, taxes, customer promises, refund policies, legal policies, content and ongoing operation of Marcel.
4. Secure temporary access
GridFrame uses temporary invitations, limited roles and temporary API credentials wherever possible. Access is limited to the Marcel project, required services and agreed domain.
GridFrame will not ask for your:
- personal email password;
- domain-provider password;
- banking password;
- Stripe login password;
- one-time or two-factor code; or
- account recovery key.
If delegated DNS access is unavailable, the service includes one guided DNS appointment. You sign in yourself, keep control of the keyboard and save the records while GridFrame guides you.
GridFrame will not change account ownership, billing details, domain registrant details or nameservers unless you approve that specific change in writing.
5. Price and payment
The fixed service price is USD $1,499, excluding the Marcel licence, third-party costs and any taxes shown at checkout.
Payment is divided into two instalments:
- First payment — USD $749.50. Due when you accept this Agreement and complete the booking checkout. This payment is credited towards the total service price.
- Final balance — USD $749.50. Due when GridFrame confirms that the agreed setup and testing are Handover Ready, before the final handover appointment and delivery of the Store Administrator credentials.
After GridFrame approves your setup request, GridFrame sends you a private booking link that expires after seven days. The link opens GridFrame's private booking page, which creates a new short-lived Stripe Checkout Session specifically for your approved request. GridFrame creates the USD $749.50 booking line item inside that Checkout Session. GridFrame does not use a reusable public Stripe Payment Link for this booking.
Agreement to pay the final balance does not, by itself, authorise GridFrame to charge your card automatically. GridFrame will send a separate Stripe invoice or create a separate secure Stripe Checkout for the final balance unless you give a separate, legally valid authorisation for an automatic charge.
GridFrame does not reserve a setup window or begin substantive setup work until the first payment has cleared and any applicable cooling-off period has ended. GridFrame may pause work while an amount is overdue. No late fee applies unless it is disclosed and agreed separately in writing.
6. Electronic transactions and cooling-off rights
Nothing in this Agreement removes a cancellation, refund or consumer right that cannot lawfully be excluded.
GridFrame provides every customer with a 14-calendar-day cooling-off period. It begins on the day after you accept this Agreement and complete the first payment. You may cancel during that period for any reason by emailing support@gridframe.site.
GridFrame will provide a full refund of the first payment when you cancel during this period. Substantive setup work will not begin until the period has ended. Preparation messages, files or invitations do not waive this right.
If mandatory law gives you a longer cancellation period or additional rights, those rights continue to apply.
7. Setup Ready and the five-business-day window
Setup Ready means GridFrame has received and tested the required settings, temporary invitations, finished brand files, domain access and prepared Printful products, and the first payment and any applicable cooling-off period have been completed.
GridFrame will confirm the Setup Ready date by email. The normal setup window is five business days from that confirmation.
The setup window pauses while GridFrame waits for:
- information, access, files, approval or action from you;
- provider identity or business verification;
- DNS propagation or domain-provider action;
- third-party support or service recovery;
- replacement of invalid or incomplete credentials; or
- payment of an amount due.
GridFrame will explain the reason for a pause. The target date moves by the length of the delay plus any reasonable time needed to resume the work.
If you do not respond for ten business days, GridFrame may place the project on hold. If you do not respond for thirty calendar days after written notice, GridFrame may end the Agreement and calculate any refund or balance under section 10.
8. Third-party services
Vercel, Neon, Cloudinary, Stripe, Printful, Resend, domain providers and other providers are independent third parties. Their terms, prices, verification, availability, limits and processing times are outside GridFrame's control.
GridFrame will use reasonable care when connecting these services, but does not guarantee that a provider will approve an account, maintain a feature, remain available or complete verification by a particular date.
A third-party delay is not a failure by GridFrame where GridFrame has completed the work reasonably within its control and has kept you informed.
9. Handover Ready, review and completion
Handover Ready means GridFrame has substantially completed the agreed scope and tests, except for any item that the parties agree in writing is blocked solely by you or a third party.
GridFrame will send a Handover Ready summary and the final invoice or payment link. After the final balance clears, GridFrame will:
- present the finished Marcel website;
- provide the Store Administrator address and credentials through the agreed secure method;
- provide the test and handover summary; and
- guide you through removing temporary access.
You should report any material in-scope problem within five business days after handover. GridFrame will correct a verified in-scope setup error within a reasonable time. This review period does not limit any mandatory legal right or right relating to a hidden problem that could not reasonably have been found during the review.
Ongoing maintenance, content changes and provider management are not included after handover.
10. Cancellation and refund calculations
10.1 Cancellation during a mandatory cooling-off period
GridFrame will honour the cancellation and refund required by applicable law. Where the law requires a full refund, no milestone or administrative deduction will be made.
10.2 Customer cancellation after the cooling-off period
You may cancel by emailing support@gridframe.site. GridFrame will stop work as soon as reasonably practical and provide an itemised calculation.
The service price is allocated to the following milestones so that completed work can be calculated transparently:

A substantially completed milestone earns its stated amount. A partially completed milestone is valued reasonably in proportion to the documented work completed within that milestone.
The cancellation calculation is:
Amount paid − earned milestone value − customer-approved, unrecoverable third-party costs = refund due
The refund will not be less than zero. If the earned value exceeds the amount already paid, GridFrame may invoice the difference, but the total service fees will never exceed $1,499 unless you approved out-of-scope work separately.
GridFrame will provide any refund within fourteen calendar days where practical, and always within any mandatory legal deadline.
10.3 GridFrame cancellation
GridFrame may cancel if it cannot reasonably provide the service, or if you do not cure a serious breach, security risk, unlawful request or overdue payment after reasonable written notice.
If GridFrame cancels for its own convenience before work begins, GridFrame will refund all service fees paid. If GridFrame cancels after work begins, GridFrame will provide usable completed work and refund unearned service fees, subject to your mandatory rights.
If GridFrame cancels because of your uncured breach, the same transparent milestone calculation in section 10.2 applies.
11. Changes and out-of-scope work
A change to the agreed scope, supplied files, domain, provider accounts or prepared Printful catalog may affect the price or timeline.
GridFrame will describe a proposed change in writing. A change is approved only when both parties agree in writing to its scope, price and timeline. Silence or failure to reply is not approval.
12. Ownership and licences
The Marcel software licence is separate from this Agreement and continues to govern your use of Marcel.
You keep ownership of your accounts, domain, customer data, product data, content and brand files. You grant GridFrame a limited permission to use them only as needed to provide the service.
GridFrame keeps ownership of its pre-existing tools, methods, templates, documentation and know-how. After full payment, you may use the customer-specific configuration and handover materials delivered for your licensed Marcel project.
13. Confidentiality and personal information
Each party will use reasonable care to protect the other party's non-public information and will use it only for this service, legal compliance and normal business records.
GridFrame will handle personal information according to the Privacy Policy and applicable law. The booking page explains what acceptance and payment records are retained.
Do not send secrets in ordinary email. GridFrame may delete temporary working copies of credentials after handover and may retain invoices, acceptance records, support records and other information required for legal, tax, security or dispute purposes.
14. Service standard and warranties
GridFrame will provide the service with reasonable care and skill and within a reasonable time, taking account of agreed pauses and third-party delays.
GridFrame does not promise uninterrupted third-party services, a particular sales result, search ranking, Printful approval, Stripe approval, email inbox placement or business outcome.
Nothing in this Agreement excludes a guarantee, remedy or other right that cannot lawfully be excluded.
15. Liability
To the fullest extent permitted by law, GridFrame is not responsible for indirect or consequential loss, lost profits, lost opportunity or loss caused by a third-party provider, customer-supplied content, customer instructions or credentials changed without GridFrame's knowledge.
To the fullest extent permitted by law, GridFrame's total liability arising from this service is limited to the service fees you paid under this Agreement. This limit does not apply to fraud, wilful misconduct, gross negligence, breach of confidentiality, violation of data-protection obligations, or any liability that cannot lawfully be limited.
You confirm that you have the right to use every file, product, image, domain and item of content you supply, and you remain responsible for claims arising from unlawful or unauthorised customer-supplied material.
16. Events outside reasonable control
Neither party is responsible for delay caused by an event reasonably outside its control, including major internet or provider outages, natural disaster, government action, war, civil disturbance or widespread infrastructure failure. The affected party will notify the other and resume performance when reasonably possible.
If such an event prevents the service for more than thirty calendar days, either party may cancel and GridFrame will calculate the refund using section 10, subject to mandatory law.
17. Complaints and disputes
Please send a complaint to support@gridframe.site. Both parties will try in good faith to resolve it within fourteen calendar days.
If it remains unresolved, the parties may agree to use mediation before court proceedings. This does not prevent urgent relief or use of a mandatory consumer process.
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory consumer right to bring a claim elsewhere.
Nothing in this section prevents a consumer from contacting a regulator or using a complaint or remedy available under applicable law.
18. Notices
Notices under this Agreement must be sent by email:
- to GridFrame at support@gridframe.site; and
- to you at the email address used for booking, unless you notify GridFrame of a replacement address.
A notice is treated as received on the next business day after sending unless the sender receives a delivery-failure message.
19. General terms
This Agreement, its approved written changes and the documents expressly incorporated into it form the entire agreement for the Setup Service.
If one term is invalid or unenforceable, the remaining terms continue where the Agreement can fairly operate without that term.
A delay in enforcing a right is not a waiver. Neither party may transfer this Agreement without the other's written consent, except that GridFrame may transfer it as part of a genuine sale or reorganisation of its business if the customer's rights are not reduced.
GridFrame may update this Agreement for future bookings. The version accepted at checkout continues to govern this booking unless both parties agree to a change in writing.
20. Electronic acceptance
Your private GridFrame booking page shows the approved request, the two instalments, a link to this Agreement and an unchecked required Agreement checkbox. By checking it, you confirm:
I have read and agree to the GridFrame Marcel Setup Service Agreement (Version 1.0), including the payment of $749.50 now and $749.50 at Handover Ready. I confirm that I am authorised to accept this Agreement for the named customer or business.
The GridFrame checkout button remains unavailable until you check the box. It then says:
Agree and continue to Stripe — $749.50
The checkbox is not preselected and is not combined with marketing consent. You can open, save and reproduce this Agreement before paying, review the checkout information and leave without placing the order. When you continue, GridFrame records the Agreement version, URL, SHA-256 fingerprint, consent reference and server date and time before creating or reopening the linked Stripe Checkout Session.
Stripe securely collects the first payment. Stripe does not collect GridFrame's Agreement consent. This Agreement becomes accepted for the booking when the recorded GridFrame consent is matched to the successful first payment.
The booking page and Stripe Checkout together display GridFrame's legal identity and contact details, the service description, full price and any tax, both payment dates, expected service timing, cancellation and refund policy, Privacy Policy and available complaint process.
After payment, Stripe provides the payment receipt. GridFrame sends the customer a booking confirmation, preparation checklist and stable link to the exact Agreement version accepted.

The online system records this information. It is not completed manually in the public Agreement.
